These Terms govern your access to and use of The UGC Workspace services, website, applications and tools (the "Services") provided by Authentiq Media trading as The UGC Workspace ("we", "us" or "our"). By creating an account, selecting acceptance where presented or using the Services, you agree to these Terms and our Privacy Policy.
You must be at least 18 years old and able to enter a binding agreement to use the Services.
The Services provide business workflow tools for creators, freelancers, agencies and businesses, including account management, contacts, projects, briefs, tasks, files, contracts and electronic signatures, invoices, retainers, reviews, email and calendar integrations, reporting and AI-assisted features.
Features may change over time. We may add, modify, limit, suspend or discontinue features where reasonably necessary, including for security, legal, provider or operational reasons.
You must provide accurate information, keep login methods and devices secure, promptly report suspected unauthorised access and remain responsible for activity carried out through your account except to the extent caused by our failure to take reasonable care.
Login history and security information may be recorded to help identify account access. Marking a login as unrecognised does not itself guarantee immediate session revocation, so you should also secure your email or Google account and contact us when compromise is suspected.
Accounts are individual unless we expressly provide a team or agency access feature.
Eligible new accounts may receive one seven-day free trial. No payment method is required to start the trial. The trial begins only when you deliberately choose a monthly or annual plan. The monthly plan is A$15 per month and the annual plan is A$150 per year unless a different price is clearly displayed before checkout.
The free trial does not automatically become a paid subscription. When the trial ends, workspace access may be restricted until you add billing and confirm payment through Stripe. Your workspace data remains stored subject to these Terms and our retention practices while access is restricted. Stripe shows the amount due, billing interval and renewal terms before you confirm a paid subscription. Taxes may apply where required.
Paid subscriptions renew through Stripe unless cancelled before the relevant renewal time. You may cancel through the billing portal. Cancellation normally takes effect at the end of the current paid period shown by Stripe, and access may continue until that time. Except where required by law, fees already paid are not refundable merely because you stop using the Services during a billing period.
We may change prices for future billing periods with reasonable notice. Nothing in these Terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded under the Australian Consumer Law.
You retain ownership of content you submit or create through the Services. You grant us and our service providers a limited, non-exclusive permission to host, copy, process, transmit, display and transform that content only as reasonably necessary to provide, secure, support and improve the Services or comply with law.
You represent that you have the rights, permissions and lawful basis needed to upload, process, contact, email, share or obtain signatures from other people through the Services. You are responsible for the accuracy and legality of your content, invoices, contracts, marketing messages and recipient lists.
The Services provide workflow tools and do not provide legal, tax, accounting or financial advice. You are responsible for reviewing contract terms, signature authority, invoice accuracy, tax treatment, payment instructions and communications before sending or relying on them.
Electronic signature records and delivery evidence may support a transaction, but enforceability depends on the document, parties, authority, consent and applicable law. Obtain professional advice where appropriate.
Optional integrations may include Google sign-in, Gmail, Google Calendar, Stripe and email-delivery providers. You authorise us to access and use connected-service data within the permissions you grant and the actions you request. You may disconnect supported integrations, but this may disable related features.
Third-party services are governed by their own terms, availability and security practices. We are not responsible for a third party's independent acts or outages, but this does not exclude responsibility we cannot lawfully exclude.
AI-assisted and automated features may produce drafts, summaries, recommendations, classifications or actions based on user inputs and workspace data. Outputs can be incomplete, inaccurate or unsuitable. You must review outputs and confirm recipients, amounts, dates, rights, obligations and other material details before use.
You must not use AI or automation to make unlawful decisions, impersonate others, mislead recipients or send communications without the required authority or consent.
You must not:
We and our licensors retain rights in the Services, software, branding, designs, workflows and documentation. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to use the Services for your own business purposes during an active entitlement.
Supported tools may allow you to export categories of workspace data and request account deletion. Exports may omit credentials, provider-held information, internal security or audit material, derived system data and information we cannot lawfully disclose. Deletion is subject to reasonable legal, tax, billing, fraud-prevention, security and operational retention exceptions described in the Privacy Policy.
The Services are not a permanent archive or guaranteed backup and restoration service. Keep independent copies of final contracts, invoices, deliverables and other business-critical records. We do not guarantee that every deleted, corrupted or provider-hosted record or file can be recovered.
We may restrict or suspend access where a trial or subscription expires, payment is overdue, required billing verification fails, the account creates security or legal risk, or these Terms are materially breached. Where reasonable, we will provide notice and an opportunity to remedy the issue.
You may stop using the Services and request deletion through supported account tools. Cancellation of a subscription does not itself delete your account. Sections intended to survive termination, including payment obligations, ownership, lawful retention, disclaimers and liability provisions, continue to apply.
We aim to provide reliable Services but do not promise uninterrupted or error-free operation. Maintenance, internet conditions, security incidents, provider outages and events outside reasonable control may affect availability. We may release fixes or impose temporary controls to protect users and the Services.
The Services are supplied subject to any consumer guarantees and other rights that apply by law. To the maximum extent permitted by law, and without excluding non-excludable rights, the Services are otherwise provided on an "as is" and "as available" basis.
To the maximum extent permitted by law, we are not liable for indirect or consequential loss, lost profits, lost opportunities or loss caused by user content, unreviewed AI output, unauthorised account use, or a third-party service outside our reasonable control.
Nothing in these Terms limits liability where doing so would be unlawful, including liability that cannot be excluded under the Australian Consumer Law. You remain responsible for maintaining independent copies of business-critical information and for checking actions taken through your account.
We may update these Terms to reflect changes to the Services, providers or law. We will make the current version available here and provide reasonable notice of material changes where required. Continued use after an update takes effect constitutes acceptance to the extent permitted by law.
These Terms are governed by the laws of Victoria, Australia.
